PUBLIC OFFER

This is an official offer made by the Individual Entrepreneur Raeva Alina Andreevna (INN[1] 773612895188, OGRNIP[2] 322774600172257), who is an individual entrepreneur (hereinafter referred to as the Contractor) to enter into a Service Agreement on the following terms:

1. Terms and definitions

1.1. The terms are used in the following meaning:

The Offer shall mean this document, the Public Offer (hereinafter referred to as the Offer).
Acceptance of the Offer, to accept shall mean unconditional acceptance of the terms of the Offer.
The Contractor shall mean the Individual Entrepreneur Raeva Alina Andreevna.
The Customer shall mean any adult, legally competent natural person acting in their own interests and on their own behalf, an individual entrepreneur, or a legal entity.
The Agreement shall mean a service agreement signed between the Contractor and the Customer, which is concluded through the Customer’s acceptance of the Offer (hereinafter referred to as the Agreement).
The Parties shall mean the Contractor and the Customer acting together.
The Services shall mean the Contractor’s services as specified in Section 2 of the Offer.
The Subscription service shall mean the Customer’s right to receive an unlimited or specified number of Services from the Contractor during a fixed calendar period (e.g. a month) subject to periodic (monthly) payments.
The Subscription shall mean the Customer’s right to receive a fixed number of Services, which must be used within the period specified by the Contractor. The payment for the Subscription shall be made in a single instalment.
The Contractor’s website shall refer to the alina-raeva.com website.

1.2. Should the Offer contain terms that are not defined in clause 1.1, such terms shall be interpreted based on their common use, applicable laws, and logic.

2. Subject

2.1. The Contractor shall provide consulting services, event organization services, access to materials selected by the Customer, access to closed communities (chat rooms) on the Internet. The Customer shall accept and pay for the services rendered in accordance with the terms and conditions of the Offer. If a service involves providing access to materials (video, audio, text files), the access period may be limited by the Contractor. This shall be specified in the service description on the website, so please pay attention. Access shall be provided to the Customer within 48 hours after the payment is received.

2.2. Service delivery format:
  • individual;
  • group;
  • one-time service;
  • subscription service;
  • subscription.

2.3. Service delivery options:
  • remotely on the Internet; upon agreement between the Parties, Zoom, Yandex Telemost messengers and other communication channels may be used;
  • face-to-face, as agreed by the Parties and subject to the Contractor’s availability.

2.4. Description of the Services, their subject matter, content, duration, cost, format and terms and conditions shall be available on the Contractor’s website or may be additionally agreed upon by the Parties by means of communication. The Parties shall agree on the terms and conditions for the provision of the Services (scope, duration, etc.) through written correspondence before the start of the provision of the Services.
Any changes and additions to the terms and conditions of the Services agreed upon by the Parties in writing by means of email or an instant messaging service shall be considered an integral part of the Agreement.

3. Offer Acceptance and Contract Conclusion

3.1. The Offer and its terms and conditions can be accepted in one of the following ways:
  • fill out and send an application form on the Contractor’s website;
  • pay for the selected service.
3.2. By paying for a Service, the Customer accepts the terms and conditions of the Offer and concludes an Agreement with the Contractor.
3.3. In case of a refund for the Services paid through the Contractor’s agent, the agent’s commission shall be deducted, and the bank fee may also be withheld.
3.4. Payment options (instalments, deferrals, credit) and payment methods shall be published on the Contractor’s Website.

4. Terms and conditions of the Services provision

4.1. No service delivery report shall be signed after the Services have been rendered. If the Customer fails to submit a substantiated complaint within 5 (five) calendar days from the date of service delivery, the Service shall be deemed accepted in full and the service delivery report shall be deemed signed.
4.2. The Customer’s provision of his/her accurate personal data to the Contractor is a mandatory and essential condition for the Contractor to provide the Services:
  • Surname, first name and patronymic;
  • Email address;
  • Telephone number.
The Contractor shall have the right to request additional information, such as: the date of birth, identity document details, postal address, registration details of the individual entrepreneur, including their OGRNIP and INN numbers, registration details and location of the legal entity. The Customer shall provide this information within 3 (three) business days upon receipt of the request. Should the Customer refuse or fail to provide such information, the Agreement shall be deemed non-concluded.
The Customer’s personal data shall be processed in accordance with the legislation of the Russian Federation. The Contractor undertakes to process the Customer’s personal data to the extent and for the purposes specified in the Agreement, as well as in accordance with the Privacy Policy that is available on the Contractor’s website at: https://life-strategy.pro/policy.
4.3. If the Customer does not respond and is not present at the time specified on the Contractor’s website or agreed upon additionally, the payment made for the Services shall not be refunded.
4.4. The Customer shall have the right to reschedule the meeting with the Contractor 1 (one) time and no later than 48 hours before the scheduled time agreed upon by the Parties.

5. Rights and obligations of the Parties
5.1. The Contractor shall provide the Services to the Customer under the terms and conditions of the Offer and in accordance with their description on the Customer’s website.
5.2. The Contractor shall have the right to:
5.2.1. suspend the provision of the Services under the Agreement for technical, technological, or other reasons that prevent the provision of the Services, for the time period required to eliminate such reasons;
5.2.2. suspend the provision of the Services under the Agreement unilaterally and extrajudicially without compensating losses to the Customer by notifying the Customer in cases when the Customer has violated the terms and conditions of the Offer more than twice;
5.2.3. reschedule counselling sessions upon agreement with the Customer.
5.3. The Customer shall be obliged to:
5.3.1. provide the Contractor with accurate information about themselves;
5.3.2. pay for the Contractor’s services;
5.3.3. provide the necessary information at the Contractor’s request, attend the meetings agreed upon.
5.4. The Customer shall have the right to:
5.4.1. receive the Services in accordance with their description on the Contractor’s website;
5.4.2. unilaterally refuse to fulfil the Agreement if the Customer is a natural person.

6. Validity period and changes to the terms and conditions
6.1. The Offer shall come into force upon its publication on the Website and shall remain valid until its revocation by the Contractor.
6.2. The Contractor may amend or terminate the Offer at any time at their sole discretion. Amendments made by the Contractor shall come into force upon their publication on the Contractor’s website. The Customer shall monitor such amendments independently; publication of such amendments on the Contractor’s website shall constitute sufficient and proper notification.
6.3. The Agreement shall come into force upon Acceptance of the Offer by the Customer and shall remain in force:
a) until the date set by the Contractor or agreed upon by the Parties for the termination of the provision of the Services;
b) until the termination of the Agreement or unilateral refusal to perform obligations under the Agreement.
6.4. Any changes to the Offer shall entail incorporation of such changes into the Agreement concluded and being in force between the Customer and the Contractor.
6.5. The Agreement may be terminated by the Parties’ mutual consent.

7. Refund policy
7.1. The Customer, being a natural person, shall have the right to refuse to fulfil their obligations under the Agreement at any time and receive a refund less the cost of the Services already rendered at the time of the refund and the expenses incurred by the Contractor. Refunds shall be made upon the Customer’s request, a sample of which shall be sent by the Contractor at the Customer’s request.
7.2. The Customer, being a legal entity or an individual entrepreneur, shall have the right to refuse to fulfil its obligations under the Agreement, if it notifies the Contractor 7 (seven) calendar days prior to the date of refusal. In this case, the Customer shall pay for the Services rendered at the time of refusal and the expenses incurred by the Contractor, and the Contractor shall have the right to claim a penalty in the amount of a single service fee.
7.3. Should the Customer refuse a service that is a Subscription service or a Subscription, the cost of the Service shall be recalculated according to the price for a one-time service.

8. Liabilities
8.1. Under the Agreement, the Parties shall be liable as provided for by the applicable laws of the Russian Federation.
8.2. The Contractor shall not be liable for the way the Customer uses the information obtained through the Service provision. The Contractor’s services are informational and advisory in nature and do not guarantee the Customer’s achievement of any specific financial or personal goals.
8.3. The Parties shall be exempt from any liability for partial or complete failure to perform their obligations under the Agreement if such failure was caused by circumstances outside their control (force-majeure).

9. Confidentiality and copyright
9.1. The information made available to the Parties shall be deemed confidential and shall not be disclosed or used for purposes other than those specified in the Offer without the consent of the other Party.
9.2. The Parties undertake mutual obligations to keep confidential any information received from the other Party during execution of the Agreement.
9.3. The Contractor shall retain exclusive rights for the materials provided to the Customer. Information and materials received by the Customer during the provision of the Services by the Contractor are intended for the Customer only and may not be distributed by the Customer in any manner. The Customer shall not have the right to transfer to third parties, reproduce, distribute, forward, or publish the received information in electronic, paper, or other forms without signing additional agreements or getting the Contractor’s official written consent.
9.4. When registering a personal account on the Contractor’s website, the Customer undertakes to keep their login and/or password for their personal account confidential and not to disclose it to third parties. Should the Contractor discover a violation of this condition, the Contractor shall have the right to block the Customer’s access to their personal account and materials, as well as to demand payment of a fine in the amount of 100,000 (One hundred thousand) rubles for each such violation.
9.5. Upon agreement between the Parties, the fact of cooperation between the Parties (conclusion of the Agreement under the terms and conditions of the Offer) may be used by the Parties for advertising and marketing purposes.

10. Other
10.1. The Agreement, its conclusion and execution shall be governed by the applicable laws of the Russian Federation.
10.2. All claims shall be sent to the email address specified in the Contractor’s details and indicated by the Contractor during registration. The claim review period is 10 (ten) calendar days from the date of its receipt. Provision of data that allows the claimant to be identified is a mandatory condition for a claim. If disputes between the Customer and the Contractor regarding the Agreement cannot be resolved through negotiations, they shall be resolved in court in accordance with the general rules of jurisdiction (in the case when the Customer is a natural person). In the case when the Customer is an individual entrepreneur or a legal entity, jurisdiction shall be determined by the Contractor’s location.
10.3. All correspondence in electronic messaging systems (messengers, e-mail, etc.) shall be considered legally binding and equivalent to a simple electronic signature. This means that everything that has been written shall be considered evidence. Notifications, claims and responses thereto, statements provided for in the Offer shall be sent by the Parties in form of electronic files and/or images to the email addresses and telephone numbers specified in the Contractor’s details and provided by the Customer.
